Terms of Service

1. Eligibility and Account

You must be at least 18 years old or the age of majority in your jurisdiction, and legally capable of entering contracts. Businesses must be duly registered. To use certain Services (e.g., API access), you must create an account, provide accurate information, and maintain confidentiality of credentials. You are responsible for all activities under your account. We may suspend or terminate accounts for violations.

2. Description of Services

Toroos provides a headless payment infrastructure including:

• Payment processing (cards, digital wallets, cross-border).
• KYC/KYB onboarding and verification.
• Wallet management and transaction processing.
• Rules engine, workflow builder, analytics, and multi-currency support.
• High-performance features (1000+ TPS, <2s response, 99.9% uptime).

Services are provided "as is" without warranties. We reserve the right to modify, suspend, or discontinue Services at any time.

3. User Obligations

You agree to:

• Use Services only for lawful purposes, complying with all applicable laws (e.g., AML/CTF, PDPL).
• Provide accurate, complete data for verification.
• Not engage in prohibited activities: fraud, money laundering, unauthorized access, reverse engineering, or interfering with Services.
• Ensure your integrations comply with our API documentation.
• Pay applicable fees as per our Pricing page or agreed packages (Starter, Professional, Enterprise).

4. Fees and Payment

Access to Services may require payment based on packages (e.g., transaction volumes, features). Fees are non-refundable except as required by law. We may charge late fees or suspend Services for non-payment. All payments are processed securely via third parties. Taxes are your responsibility.

5. Intellectual Property

Toroos owns all rights to the Services, including software, APIs, documentation, and trademarks. You are granted a limited, non-exclusive, revocable license to use the Services for your internal business purposes. You retain rights to your data but grant us a license to use it for Service delivery and compliance.

Do not copy, modify, or distribute our IP without permission.

6. Confidentiality

You agree to keep confidential any non-public information disclosed by us (e.g., API keys, business strategies). This survives termination.

7. Data Protection

Your use of Services is subject to our Privacy Policy, which is incorporated herein. You must comply with data protection laws when handling end-user data via our platform.

8. Liability and Indemnification

Disclaimer of Warranties: Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement.

Limitation of Liability: To the maximum extent permitted by law, Toroos shall not be liable for indirect, incidental, consequential, or punitive damages (e.g., lost profits, data loss). Total liability shall not exceed fees paid in the 12 months preceding the claim.

Indemnification: You agree to indemnify and hold Toroos harmless from claims arising from your use of Services, breach of Terms, or violation of laws.

These limitations apply even if advised of the possibility of damages.

9. Termination

We may terminate or suspend your access for breach, non-payment, or at our discretion with notice. Upon termination, you must cease use and pay outstanding fees. Sections surviving termination: IP, confidentiality, liability, governing law.

10. Prohibited Activities

You may not use Services for: illegal activities, terrorism financing, sanctions violations, high-risk industries without approval (e.g., gambling, adult content), or excessive load on our systems.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Riyadh, KSA. For users in other Arab countries, local mandatory laws apply supplementally.

12. Miscellaneous

These Terms constitute the entire agreement. No waiver unless in writing. If any provision is invalid, others remain enforceable. Force majeure events excuse performance.
